Terms of Service

1. What these terms cover

These terms govern your use of Keyline VMS ("the service"), operated by Black Lab Industries ("we", "us"). By creating an account or using the service you agree to them. If you are agreeing on behalf of a company, you confirm you are authorised to do so.

2. Accounts

You are responsible for the accounts created under your organisation and for keeping credentials secure. Accounts are per person and must not be shared — pricing is per user, and shared logins make the audit trail meaningless, which is one of the things you are paying for.

You may add or remove users at any time. Removing a user does not remove the record of what they did; the audit trail is retained.

3. Fees and payment

Annual plan. $99 per user per month, billed and paid in advance for a twelve-month term.
Monthly plan. $200 per user per month, billed in advance each month.

Fees are in US dollars and exclude any applicable taxes. Seats added part-way through a term are charged pro rata at the same per-user rate. Reducing seat count takes effect at the next renewal; prepaid annual fees are not refunded for unused seats.

We may change pricing with at least 30 days' written notice, taking effect at your next renewal. A price change never applies to a term you have already paid for.

4. Term, renewal and cancellation

Monthly plans continue until cancelled and can be cancelled at any time, effective at the end of the paid month. Annual plans run for twelve months and renew automatically unless cancelled at least 30 days before renewal.

We may suspend or terminate an account for non-payment or for use that breaches these terms, after giving you notice and a reasonable opportunity to put it right.

5. Your data

Your fleet records, jobs, worksheets, images and invoices remain yours. We claim no ownership of them. We process them only to provide the service, and we do not sell them or use them to train anything.

You can request an export of your data at any time while your account is active. On termination we will make an export available for 30 days, after which your data may be deleted.

6. Availability

We aim to keep the service available at all times but do not guarantee uninterrupted access. Maintenance that requires downtime will be scheduled outside normal working hours where possible. No formal uptime commitment applies unless separately agreed in writing.

7. Acceptable use

Do not use the service to store unlawful content, attempt to access another organisation's data, probe or interfere with the service's security, or resell access without our written agreement.

8. Confidentiality

Each party will keep the other's non-public information confidential and use it only as needed to perform under these terms. This is particularly relevant where manufacturer programmes and embargoed vehicles are involved.

9. Liability

To the extent permitted by law, neither party is liable for indirect or consequential loss, including lost profits. Our total liability in any twelve-month period is limited to the fees you paid in that period.

The service is a record-keeping tool. It does not replace your own inspection, safety or regulatory obligations for the vehicles you handle.

10. Changes

We may update these terms. Material changes will be notified by email at least 30 days before they take effect, and continued use after that constitutes acceptance.
